Tesla said Wednesday it will ask shareholders to reinstate CEO Elon Musk's $56 billion pay package, which a Delaware judge voided earlier this year after ruling that the record-setting compensation deal was "deeply flawed." Tesla said the court decision created a "fundamental problem for the company." Tesla has not hired Innisfree since 2018, when it first asked shareholders to vote on Musk's pay package. Musk's pay package was invalidated after a shareholder won a lawsuit against the company earlier this year. The company also noted that "dozens of institutional stockholders" have told Tesla that they disagree with the Tornetta decision.

In 2015, Nelson Peltz's Trian Partners was defeated in an activist campaign against chemical firm DuPont , largely because the top three institutional shareholders voted against his slate. Nearly a decade later, those same institutional investors — Vanguard, State Street and BlackRock — are the three largest shareholders in Disney . Former Marvel chairman Ike Perlmutter has entrusted Peltz with his 33 million Disney shares, the bulk of the activist's 1.8% stake. Vanguard is the largest holder with 8% of outstanding Disney shares. In 2021, for example, 63% of Disney shareholders voted their shares, according to data analyzed by 13D Monitor.

Background: San Francisco was investigating. Twitter representatives told the inspector that it was a “temporary lighted sign for an event,” the complaint said. The changes were reflected inside Twitter’s San Francisco headquarters — X logos were projected in the cafeteria and conference rooms were renamed — as well as outside. Early on July 24, Mr. Musk shared a photo of a giant X projected on Twitter’s office building shortly after announcing the change. Days later, the “X” sign was installed.

SYDNEY, July 3 (Reuters) - An Australian project management firm has filed a lawsuit against Twitter Inc in a U.S. court seeking cumulative payments of about A$1 million ($665,000) over alleged non-payment of bills for work done in four countries, court filings showed. The Australian firm's lawsuit is the latest alleging non-payment of bills and rent against Twitter since Elon Musk bought the social media platform for $44 billion last year. For those works, Twitter owed the company about 203,000 pounds, S$546,600 and A$61,300, respectively, Facilitate said. In May, a former public relations firm filed a suit in a New York court saying Twitter had not paid its bills, while early this year U.S.-based advisory firm Innisfree M&A Inc sued it, seeking about $1.9 million for what it said were unpaid bills after it advised Twitter on its acquisition by Musk. Community feels good. Activism feels good. Cultivating feels good. Sometimes we go out and work in community because we want to alter and renew our sense of what is possible. Last year, author Laura Vanderkam wrote in The New York Times that quitting is not the answer to burnout.

Elon Musk's Twitter was sued again in California this week for alleged failure to pay a vendor. The Tesla and SpaceX CEO led a $44 billion buyout of Twitter, which closed around October 27, 2022. According to a Platformer report on Thursday, Twitter suddenly cut off employees' access to Slack this week after failing to pay a bill. In the newest complaint, filed in California Superior Court in San Francisco, Writer says that Twitter failed to pay a bill for the relatively humble amount of $113,856. This week, he wrote on Twitter, "Say what you want about me, but I acquired the world's largest non-profit for $44B lol."
Innisfree M&A claims it was hired to facilitate communications between Twitter and shareholders last year. After Musk's acquisition was finalized, Innisfree sent Twitter an invoice for $1.9 million, which was "processed" a month later. The suit claims Twitter has not responded to Innisfree's invoice and letters since December. The lawsuit is the latest in a string of recent legal and regulatory challenges filed against Twitter, including accusations of unpaid rent, and another unpaid bill from a private jet company, among others. Another San Francisco landlord sued over about $130,000 in unpaid rent in early January, and a real estate company belonging to King Charles III also sued Twitter over unpaid rent at a London office.
